Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and the business you represent ("you," "Customer") and Levy Strategies LLC ("Torok," "we," "us"), governing your access to and use of the Torok platform, website, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

01Agreement to these terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.

02The Service & eligibility

Torok connects your advertising and commerce accounts, loads that data into a secure warehouse, and provides AI-assisted analysis and recommendations. The Service is a business tool intended solely for use by businesses and their authorized personnel who are at least 18 years old. You may not use the Service if you are barred from doing so under applicable law.

03Accounts & security

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. We strongly recommend enabling two-factor authentication. Notify us promptly at security@torok.ai of any unauthorized access. You are responsible for your authorized users' compliance with these Terms.

04Your data & connected accounts

As between you and Torok, you own your data, including the advertising, commerce, and analytics data accessed from platforms you connect ("Customer Data"). You grant Torok a limited, non-exclusive license to access, store, process, and display Customer Data solely to provide and improve the Service, and as directed by you through your use of the Service.

You represent and warrant that you have all rights and authority necessary to connect each account and to authorize Torok's access to the associated data, and that your provision of Customer Data complies with applicable law and with the terms of the underlying platforms (Google, Meta, Microsoft, Amazon, Shopify, and others). Where Torok processes personal data on your behalf, that processing is governed by our Data Processing Agreement.

05Plans, credits & billing

Subscriptions. Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. Unless stated otherwise, subscriptions renew automatically until cancelled.

Prepaid credits. Certain features — including AI analysis — are metered and paid for using prepaid credits. Credits are purchased in advance and are consumed as you use the metered features, based on the actual processing your requests require. Your credit balance and usage are shown in the Service.

Consumption & caps. We meter usage on actuals and will pause metered features when your prepaid balance is exhausted until you add more. Plans may also include data or usage caps, which are described at the point of sale.

Refunds. Except where required by law or expressly stated, payments and purchased credits are non-refundable, and unused credits are not redeemable for cash. We may offer an optional auto-reload that you can disable at any time.

Taxes & changes. Fees are exclusive of taxes, which you are responsible for. We may change prices or introduce new fees on prospective notice; changes do not affect the current paid term.

06Acceptable use

You agree not to, and not to permit anyone to:

• use the Service in violation of any law or the terms of any connected platform;
• access or attempt to access data that is not yours, or another customer's environment;
• reverse engineer, decompile, scrape, or attempt to extract source code or the underlying models, except as permitted by law;
• resell, sublicense, or provide the Service to third parties except your own authorized users;
• interfere with or disrupt the Service, circumvent rate limits or usage metering, or introduce malicious code;
• use the Service to build a competing product, or to generate content that is unlawful, infringing, or abusive; or
• use the Service in a manner that would cause Torok to violate our AI provider's or any platform's acceptable-use policies.

We may suspend access to protect the Service, other customers, or to address a violation, and will use reasonable efforts to notify you.

07AI output & no professional advice

Torok uses AI to analyze your data and generate recommendations. AI output is provided for informational purposes only, may contain errors, and is not professional, financial, legal, or investment advice. You are solely responsible for reviewing the data and reasoning behind any recommendation and for decisions you make — including any changes to advertising spend. Torok does not guarantee any particular result, accuracy, or completeness. Where you enable any feature that writes changes back to a connected platform, you are responsible for confirming those changes before they are applied.

08Intellectual property

The Service, including all software, models, interfaces, and content we provide (excluding Customer Data), is owned by Levy Strategies LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. If you provide feedback, you grant us a perpetual, royalty-free license to use it to improve the Service. All rights not expressly granted are reserved.

09Third-party platforms

The Service integrates with third-party platforms that you choose to connect. Your use of those platforms is governed by their own terms, and Torok is not responsible for their availability, changes to their APIs, or their acts or omissions. If a platform changes or restricts access, some features may be affected.

10Confidentiality

Each party may access the other's non-public information ("Confidential Information"). Each party will protect the other's Confidential Information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and service providers bound by confidentiality obligations, or as required by law.

11Term & termination

These Terms apply while you use the Service. You may stop using and cancel at any time; cancellation takes effect at the end of the current paid term. We may suspend or terminate your access for material breach (including non-payment or violation of Section 6), or to comply with law. On termination, your right to use the Service ends, and we handle your data as described in our Privacy Policy (including the retention window and deletion-on-request). Sections that by their nature should survive termination will survive.

12Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOROK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. TOROK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO TOROK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14Indemnification

You will defend, indemnify, and hold harmless Levy Strategies LLC and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of (i) your Customer Data or your lack of rights or authority to connect an account or authorize processing; (ii) your use of the Service in violation of these Terms, applicable law, or a platform's terms; or (iii) decisions or actions you take based on the Service.

15Governing law & disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting each other. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Illinois, and each party consents to venue there.

16Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17General

These Terms, together with the Privacy Policy and any DPA, are the entire agreement between you and Torok regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent to your account email; notices to us go to legal@torok.ai.
